Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and LITTLE NHA TRANG CORP regarding your access to and use of our website, services, and any related applications or platforms. • Data engineering and analytics platforms
• Technical consulting and advisory services

The specific scope, deliverables, timelines, and pricing for services will be defined in individual service agreements, statements of work, or proposals executed between you and LITTLE NHA TRANG CORP.

Service Agreements

Engagement for professional services requires execution of a separate service agreement or statement of work. Such agreements will specify:

• Detailed scope of services and deliverables
• Project timelines and milestones
• Fees, payment terms, and expenses
• Acceptance criteria and procedures
• Confidentiality and intellectual property provisions
• Warranties, limitations of liability, and indemnification

In the event of any conflict between these Terms and a service agreement, the service agreement shall prevail with respect to the services covered by that agreement.

Use of Services

Intellectual Property Rights

Our Intellectual Property

All content, materials, software, methodologies, tools, and intellectual property provided by LITTLE NHA TRANG CORP remain our exclusive property unless otherwise specified in a written agreement. This includes but is not limited to:

• Website content, design, and functionality
• Proprietary software, frameworks, and tools

Client Intellectual Property

You retain all rights to your pre-existing intellectual property. Ownership of custom deliverables created specifically for you will be addressed in the applicable service agreement.

License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to use deliverables as specified in your service agreement.

Confidentiality

Both parties acknowledge that they may have access to confidential information during the course of our relationship. Each party agrees to:

• Maintain the confidentiality of all confidential information
• Use confidential information only for the purposes of the engagement
• Not disclose confidential information to third parties without prior written consent
• Return or destroy confidential information upon request or termination

Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from third parties.

Payment Terms

Fees for services will be specified in the applicable service agreement. Unless otherwise stated:

• Invoices are due within 30 days of the invoice date
• Late payments may incur interest charges at the rate of 1.5% per month
• We reserve the right to suspend services for non-payment
• You are responsible for all taxes, except those based on our net income
• Expenses incurred on your behalf will be billed separately unless included in the fee

Warranties and Disclaimers

Our Warranties

We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards. Specific warranties for deliverables will be outlined in service agreements.

Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN A SERVICE AGREEMENT, OUR SERVICES AND WEBSITE ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that our services will be uninterrupted, error-free, or completely secure. We are not responsible for delays, failures, or problems resulting from circumstances beyond our reasonable control.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LITTLE NHA TRANG CORP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM:

• Your access to or use of or inability to access or use our services
• Any conduct or content of any third party
• Unauthorized access, use, or alteration of your data
• Any other matter relating to our services

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you to us in the twelve months preceding the claim, or $10,000, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless LITTLE NHA TRANG CORP and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from:

• Your violation of these Terms
• Your violation of any rights of another party
• Your use of our services
• Your breach of any representations or warranties

Term and Termination

These Terms remain in effect while you use our services. Either party may terminate a service engagement as specified in the applicable service agreement.

We reserve the right to suspend or terminate your access to our services immediately, without prior notice, for any breach of these Terms or for any other reason at our sole discretion.

Upon termination, all licenses granted to you will immediately cease, and you must discontinue use of our services and return or destroy any confidential information.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new effective date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

If you do not agree to the modified Terms, you must discontinue use of our services.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property matters.

The arbitration shall take place in Contra Costa County, California. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

General Provisions

Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and LITTLE NHA TRANG CORP regarding our services.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
